1. Acceptance of Terms

By accessing or using myCodex (“the Service”), operated by myCodex (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

myCodex is a source-locked AI platform that allows users (“Creators”) to upload documents, videos, audio, and other materials (“Content”) into knowledge bases (“Projects”), and provides AI-powered chat that answers questions strictly from those uploaded sources. End users (“Subscribers”) may access Projects by purchasing subscriptions or one-time access passes.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old or have parental consent to use the Service. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Creator Responsibilities

If you upload Content to the Service as a Creator, you represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions to upload, distribute, and monetize the Content.
  • The Content does not infringe upon any third-party copyrights, trademarks, patents, trade secrets, or other intellectual property rights.
  • The Content does not violate any applicable law or regulation.
  • The Content does not contain unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable material.
  • You accept sole legal responsibility and liability for any Content you upload and any claims arising from it.

5. Content Ownership and License

You retain all ownership rights to Content you upload. By uploading Content, you grant myCodex a non-exclusive, worldwide, royalty-free license to store, process, index, embed, and serve your Content through the platform for the purpose of providing the Service. This license terminates when you delete your Content or account, subject to reasonable backup and archival periods.

myCodex does not claim ownership of your Content. We do not use your Content to train AI models. Your Content is used solely to answer queries within the Project it belongs to.

6. DMCA and Copyright Complaints

We respect intellectual property rights. If you believe Content on the Service infringes your copyright, you may submit a DMCA takedown notice to our designated agent at:

Your notice must include: (a) identification of the copyrighted work, (b) identification of the infringing material with sufficient detail to locate it, (c) your contact information, (d) a statement of good faith belief that the use is not authorized, and (e) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf.

Upon receipt of a valid DMCA notice, we will promptly remove or disable access to the allegedly infringing Content and notify the Creator. Repeat infringers may have their accounts terminated.

7. Subscriptions and Payments

Paid features are billed through Stripe. By purchasing a subscription or one-time access pass, you agree to pay the listed price. Subscriptions renew automatically unless canceled before the renewal date. You may cancel your subscription at any time through your account settings or Stripe's billing portal.

All sales are final. Due to the digital nature of the Service and immediate access granted upon purchase, we do not offer refunds for subscriptions, one-time purchases, or boost packs. You may cancel your subscription at any time to prevent future charges, but no refunds will be issued for the current billing period or any previous payments.

Creator revenue shares (80% of revenue above platform costs) are paid out through Stripe Connect. Creators are responsible for their own tax obligations related to income earned through the Service.

8. Prohibited Uses

You may not use the Service to:

  • Upload Content you do not have the right to distribute or monetize.
  • Attempt to circumvent, disable, or interfere with security features of the Service.
  • Use automated tools (bots, scrapers) to access the Service without permission.
  • Reverse engineer, decompile, or extract source code from the Service.
  • Resell or redistribute access to the Service without authorization.
  • Upload malicious code, viruses, or harmful data.
  • Harass, abuse, or harm other users.
  • Use the Service for any purpose that is illegal under applicable law.

9. AI Limitations and Disclaimer

The AI responses generated by the Service are based solely on Content uploaded to each Project. While we design the system to be source-locked and citation-based, AI-generated responses may occasionally contain errors, omissions, or inaccuracies. The Service is not a substitute for professional advice (legal, medical, financial, or otherwise). You use AI-generated responses at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYCODEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE, (B) ANY CONTENT UPLOADED BY CREATORS, (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA, OR (D) ANY OTHER MATTER RELATING TO THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless myCodex, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from (a) your use of the Service, (b) Content you upload, (c) your violation of these Terms, or (d) your violation of any third-party rights.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any downtime, data loss, or service interruptions.

13. Termination

We may terminate or suspend your account at our discretion if you violate these Terms. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately. Content you uploaded may be deleted after a reasonable retention period. Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) shall survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction, at our election.

15. Educational Institution Terms

The following additional terms apply when the Service is purchased by an educational institution (“Institution”) for use by its students and faculty:

  • Institutional Licenses. Institutional licenses are sold on a per-class, per-semester basis. Each enrolled student receives a fixed allocation of AI requests for the semester term.
  • Student Accounts. Students access the Service through enrollment codes provided by their Institution. Student accounts are subject to these Terms and any additional policies set by their Institution.
  • FERPA Compliance. When providing services to U.S. educational institutions, we act as a “school official” with a “legitimate educational interest” under FERPA. We process student education records only as necessary to provide the Service.
  • Student Data. For institutional accounts, student data is used solely to provide the Service, is not used for advertising or sold to third parties, and is not used to train AI models. Upon termination, student data is deleted within 90 days upon Institution request.
  • Payment Terms. Institutions may pay via invoice with Net 30 terms. Purchase Orders are accepted.
  • Profit Sharing. Institutions may optionally charge students for access. In such arrangements, Institution retains 80% of student payments and myCodex receives 20%.
